Nasdaq Equity Corporate Action #2026-620, posted August 27, 2026, says the Bleichroeder Acquisition Corp. II combination with Pasqal Holding SA is expected to close today.
That is the close tape. Not an F-4/A. Not a 425. Subject to closing, Nasdaq suspends the SPAC symbols August 28.
BBCQ Class A ordinary shares (CUSIP G1170E104), BBCQW (CUSIP G1170E112), and BBCQU (CUSIP G1170E120) last trade August 27.
Consideration is mechanical:
- One PSQL ordinary share (CUSIP F70289107) per BBCQ share
- One PSQLW warrant expiring August 28, 2031 (CUSIP F70289115) per BBCQW
- BBCQU units separate into the pieces. They do not stay listed as units.
The combined company, Pasqal Holding SA, lists on the Nasdaq Global Market as PSQL / PSQLW effective August 28.
The Pasqal extraordinary meeting was already dated August 25. Proxy graphics were in the F-4/A on July 23. The F-4 is not on the SPAC CIK — primary filer is the France merger-sub. A 425 is not this tape. Pulse sat at 87 on the last 425 / Item 5.02 housekeeping. Nasdaq listing the successor is what ends the SPAC book.
Pulse Impact
- Previous Pulse: 87
- New Pulse: 96
- Change: +9
- Driver: Nasdaq listed the successor. Combination is done, not pending. Pulse goes to the close print.
Why It Matters
Once Nasdaq prints last-trade and successor symbols, the SPAC tape is finished. Path-to-close is 100. The strip mark is Closed on August 27, not another F-4/A. From August 28 the name to watch is PSQL, not BBCQ. An 8-K Item 2.01 completion, if it shows up, is the SEC twin of this alert — it does not move Pulse a second time.
