On August 4, 2026, SBXD, Parataxis Holdings Inc., the merger subs, Parataxis Holdings LLC, the SPAC Representative and the Seller Representative executed the Second Amendment.
The amendment replaces Section 9.1(b) of the August 6, 2025 Business Combination Agreement (as previously amended May 1, 2026) to set the Outside Date at December 31, 2026.
If SBXD obtains an Extension of its business combination deadline, either party may further extend the Outside Date by written notice for the shorter of the Extension period or a mutually agreed period.
The Second Amendment is filed as Exhibit 2.1. All other terms of the Original Agreement remain in effect except as expressly modified.
The filing also includes Rule 425 communications regarding the pending S-4 (333-289994).
