Do not treat “S-4 filed” as “close is near.” Treat it as: the clock on amendment velocity has started. Watch for:
- First S-4/A (comments)
- EX-2 amendments (economics moved)
- EX-99 form of proxy (vote is being printed)
- A PubCo ticker on a HoldCo or merger sub, if they dual-file
