Future Vision II bought 30 days. Extensions are not amendments.

A sponsor note pushed the business-combination deadline from August 13 to September 13. That is time. It is not an S-4/A.

On August 13 the board of Future Vision II approved an extension of the business-combination deadline from August 13, 2026 to September 13, 2026, at the sponsor’s request. The 8-K (filed August 17) also reports a note — Item 2.03, a direct financial obligation — and an unregistered issuance tied to that note (Item 3.02).

This is the monthly-extension pattern. Cayman articles let the sponsor buy another 30 days with a deposit or a promissory note. It keeps the vehicle alive. It does not move the SEC review.

Do not mix the two clocks

Filing velocity is S-4 → S-4/A gaps. FVN already has an S-4/A (June 12) and Q&A language that the combination is expected no later than September 2026. That sentence now sits on top of a deadline that was just rolled to September 13.

If the next event is another extension note, the close-path score should not go up. If the next event is a proxy card or a DEFM14A, it should.

Eureka (EURK) filed a similar extension promissory note to Marine Thinking on August 11. Same species of 8-K. Same rule: time ≠ comments clearing.
