COLA issues $25k Target Extension Note and $25k Sponsor Extension Note

Columbus Acquisition Corp filed an 8-K/425 on the July 30, 2026 issuance of two unsecured promissory notes tied to the August extension payment.

On July 21, 2026, $50,000 was deposited into the trust account, extending the initial business combination deadline from July 22, 2026 to August 22, 2026. Half was paid by the Sponsor and half by WISeSat.Space Corp.

On July 30, 2026, the Company issued the $25,000 Target Extension Note to WISeSat.Space Corp. and the $25,000 Sponsor Extension Note to Hercules Capital Management VII Corp.

Both notes are non-interest bearing. The Target Extension Note matures on the earliest of BCA termination (other than under Section 10.1(e)), consummation of a Business Combination, or winding up. The Sponsor Extension Note matures on the earlier of Business Combination or winding up.

The Target Extension Note may convert into private units at $10.00 per unit or, in certain termination scenarios, into post-combination shares at $5.00 per share. The Sponsor Extension Note converts only into units at $10.00 per unit.

The notes were issued under Section 4(a)(2) exemption. Exhibits 10.1 and 10.2 contain the full note texts.
