On August 25, 2026, Charlton Aria Acquisition Corporation issued an unsecured Working Capital Note to ST Sponsor II Limited with a principal amount of up to $500,000.

The note carries no interest except that overdue amounts accrue default interest at the prevailing short-term U.S. Treasury Bill rate. Principal is due on the earlier of an initial business combination or liquidation.

The Sponsor may convert the note, in whole or in part, into private units at $10.00 per unit upon written notice at least two business days before the combination closing. Each unit consists of one Class A ordinary share and one right to one-eighth of one Class A ordinary share.

Aggregate conversions of notes issued to the Sponsor are capped at $3,000,000 under the prospectus. The note was issued pursuant to Section 4(a)(2) and carries registration rights for any converted units.
