That is the close tape. Not an S-4/A. Not a postponement. Subject to closing, Nasdaq suspends the SPAC symbols August 28.
BCAR Class A ordinary shares (CUSIP G2616F101), BCARW (CUSIP G2616F119), and BCARU (CUSIP G2616F127) last trade August 27.
Consideration is mechanical:
- One XLAB Class A share (CUSIP 30066G102) per BCAR share
- One XLABW warrant expiring August 28, 2031 (CUSIP 30066G110) per BCARW
- BCARU units separate into the pieces. They do not stay listed as units.
The combined company, Exascale Labs Holdings Inc., lists on the Nasdaq Global Market as XLAB / XLABW effective August 28. Successor CUSIPs are 30066G102 (stock) and 30066G110 (warrant).
The vote already printed. The July 29 EGM redeemed 95.95% of public shares — leftover trust is a stub. Pulse sat at 70 on that tape (vote printed, financing at risk). Nasdaq listing the successor is what ends the SPAC book, not another amendment gap.

Why It Matters

From August 28 the name to watch is XLAB, not BCAR. An 8-K Item 2.01 completion, if it shows up, is the SEC twin of this alert — it does not move Pulse a second time.
